Welcome to NOVI and simplynovi.com (the “Site”). The Site is operated by NOVI MOOD LLC (“NOVI,” “Company,” “we,” “us,” or “our”).
These Terms of Service (“Terms”) govern your access to and use of the Site and any products, services, features, content, and functionality offered through the Site (collectively, the “Services”).
By accessing or using the Site, creating an account, or purchasing products from us, you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you do not agree to these Terms, please do not use the Site or Services.
We may modify these Terms from time to time by posting an updated version on the Site. Changes will become effective when posted unless otherwise stated. Your continued use of the Site after updated Terms are posted constitutes acceptance of those changes.
1. Description of the Services
NOVI operates an online retail store offering apparel, accessories, and other products.
Through the Site, you may browse and purchase products, create or manage an account, subscribe to communications, submit reviews or feedback, contact customer support, participate in promotions, and otherwise interact with NOVI.
Certain Services may require you to provide personal information. Our collection and use of personal information are governed by our Privacy Policy, which is incorporated into these Terms by reference.

5. Products, Pricing, and Availability
We attempt to provide accurate descriptions, images, pricing, availability, sizing, colors, and other information regarding products offered through the Site.
However, information may occasionally contain errors, inaccuracies, or omissions.
Product colors may also appear differently depending on your device, display, brightness, settings, and other factors. We cannot guarantee that the color displayed on your screen will exactly match the physical product.
Product measurements and sizing information are provided for guidance and may vary slightly.
Prices and product availability are subject to change without notice.
We reserve the right to correct pricing, product descriptions, availability, promotional information, or other errors at any time.
If an error affects an order you have already submitted, we may contact you regarding the error or cancel the affected order and issue any appropriate refund.
We are not obligated to honor an incorrect price caused by a technical, typographical, or other error where permitted by applicable law.
6. Orders
Submitting an order does not necessarily mean that your order has been accepted.
We reserve the right to accept, reject, limit, or cancel an order where reasonably necessary, including because of product availability, suspected fraud, payment issues, pricing errors, technical problems, shipping restrictions, or suspected resale activity.
We may limit quantities purchased by a particular person, household, payment method, customer account, billing address, shipping address, or order.
Products are generally intended for personal use unless we expressly authorize otherwise.
If we cancel an order after payment has been collected, we will issue an appropriate refund to the original payment method.

By submitting payment information, you represent that you are authorized to use the applicable payment method.
Payments may be processed by Shopify or other third-party payment processors.
We may perform or use third-party fraud screening or payment verification before accepting or fulfilling an order.
You are responsible for charges associated with purchases made through your account or payment method where authorized by you.
8. Shipping and Delivery
Shipping estimates provided by NOVI are estimates only unless expressly stated otherwise.
Delivery times may be affected by carriers, customs, weather, holidays, address issues, operational delays, or other circumstances outside our reasonable control.
NOVI is not responsible for delays caused by shipping carriers or events outside our reasonable control, except where responsibility is imposed by applicable law.
You are responsible for providing a complete and accurate delivery address.
If an order is returned because an incorrect or incomplete address was provided, additional shipping charges may apply where permitted.
International orders may be subject to customs procedures, import requirements, duties, taxes, or fees depending on the destination.
9. Returns and Refunds
Purchases are subject to the NOVI Return Policy in effect at the time of purchase.
The Return Policy forms part of these Terms.
Eligibility requirements, return periods, product-condition requirements, exclusions, refund methods, exchange procedures, and other return conditions are described in our Return Policy.
Nothing in our Return Policy or these Terms limits consumer rights that cannot legally be waived or restricted.
Where customers have mandatory cancellation, withdrawal, refund, or other consumer rights under applicable law, those rights remain applicable.
10. Promotions and Discount Codes
NOVI may offer discount codes, promotional offers, gifts, bundles, limited-time offers, or other promotions.
Promotions may be subject to additional terms disclosed at the time of the promotion.
Unless otherwise stated, promotional offers have no cash value, may not be combined with other offers, and may be modified or withdrawn where permitted by law.
We may reject or cancel the use of promotional codes that are expired, invalid, duplicated, obtained improperly, used fraudulently, or otherwise used contrary to the promotion's stated terms.
11. User Content
The Site may allow you to submit product reviews, photographs, videos, comments, feedback, questions, or other content (“User Content”).
You represent that you own or otherwise have the rights necessary to submit your User Content and that your submission does not violate the intellectual property, privacy, publicity, contractual, or other rights of another person.
You agree not to submit content that is unlawful, fraudulent, threatening, defamatory, obscene, abusive, misleading, infringing, or otherwise inappropriate.
By submitting User Content to NOVI, you grant NOVI MOOD LLC a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, display, distribute, and otherwise use that User Content in connection with NOVI's business, Services, advertising, marketing, social media, and promotional activities, to the extent permitted by applicable law.
Where permitted by law, this license continues even if you stop using the Services.
We are not required to publish or retain User Content and may edit, reject, or remove submissions at our discretion where appropriate.
You will not be entitled to payment merely because we use User Content you voluntarily submitted unless separately agreed in writing.
12. Feedback
If you provide ideas, suggestions, comments, concepts, recommendations, or other feedback relating to NOVI, the Site, our products, or Services, you acknowledge that we may use that feedback without restriction or compensation to you, subject to applicable law.
Submitting feedback does not create a confidential, fiduciary, employment, partnership, or other special relationship between you and NOVI.
13. Prohibited Conduct
You agree not to misuse the Site or Services.
You may not use the Site to engage in fraud or unlawful activity; make purchases using unauthorized payment methods; attempt unauthorized access to systems or accounts; interfere with Site security or functionality; introduce malware, viruses, or harmful code; impersonate another person; scrape or systematically extract Site content without authorization; use automated tools to interfere with or excessively access the Site; infringe intellectual property rights; submit unlawful, defamatory, abusive, obscene, misleading, or infringing material; manipulate reviews or promotions; evade purchase limits; use the Site for unauthorized commercial resale activity; or otherwise use the Services in a manner that violates applicable law or these Terms.
We may investigate suspected violations and take appropriate action, including blocking transactions, restricting access, suspending accounts, cancelling orders, or cooperating with authorities where appropriate.

Third-party services are operated independently of NOVI.
NOVI does not control and is not responsible for the content, availability, products, services, security, terms, or privacy practices of third parties.
Your interactions with third-party services are governed by the applicable third party's terms and privacy policies.
A link to a third-party service does not necessarily constitute an endorsement by NOVI.
15. Text Messages and Electronic Communications
If you provide your telephone number and consent to receive text messages from NOVI, we may send messages regarding orders, customer service, promotions, or other communications consistent with the consent you provided.
Message and data rates may apply depending on your wireless carrier and plan.
Where available, you may opt out of promotional SMS communications by replying STOP.
By providing your email address, you consent to receive electronic communications necessary to process transactions and provide the Services.
You may unsubscribe from marketing emails using the unsubscribe link provided in those communications.
Transactional communications may continue even after you unsubscribe from promotional messages.
16. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SITE, SITE CONTENT, AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
NOVI MOOD LLC MAKES NO REPRESENTATION OR WARRANTY THAT THE SITE OR SERVICES WILL ALWAYS BE AVAILABLE, UNINTERRUPTED, SECURE, ACCURATE, COMPLETE, OR ERROR-FREE.
TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT ERRORS OR DEFECTS WILL ALWAYS BE CORRECTED OR THAT THE SITE OR SERVERS WILL BE FREE FROM HARMFUL COMPONENTS.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS, IN WHICH CASE SOME OF THE ABOVE MAY NOT APPLY TO YOU.
Nothing in these Terms excludes warranties or rights that cannot legally be excluded.
17. Events Outside Our Control
NOVI will not be responsible for delays or failures caused by circumstances beyond our reasonable control, to the extent permitted by law.
Such events may include natural disasters, extreme weather, fire, flooding, epidemics, pandemics, war, terrorism, civil unrest, strikes, government actions, transportation interruptions, supply-chain disruptions, telecommunications failures, Internet outages, cyber incidents, carrier delays, or similar circumstances.
18. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NOVI MOOD LLC AND ITS OWNERS, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, SERVICE PROVIDERS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR LOSS OF BUSINESS OPPORTUNITY, ARISING FROM OR RELATING TO YOUR USE OF THE SITE, SERVICES, OR PRODUCTS.
TO THE FULLEST EXTENT PERMITTED BY LAW, NOVI MOOD LLC'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO A PRODUCT PURCHASE WILL NOT EXCEED THE AMOUNT YOU PAID TO NOVI FOR THE PRODUCT OR ORDER GIVING RISE TO THE CLAIM.
For claims unrelated to a particular purchase, our aggregate liability will not exceed $100 USD, to the fullest extent permitted by applicable law.
Certain jurisdictions do not permit particular limitations or exclusions of liability. Where those laws apply, these limitations apply only to the maximum extent permitted.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.
19. Indemnification
To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless NOVI MOOD LLC and its affiliates, officers, directors, employees, contractors, agents, service providers, successors, and assigns from claims, liabilities, damages, losses, costs, and reasonable legal expenses arising from your misuse of the Site or Services, your violation of these Terms, your User Content, your violation of applicable law, or your infringement of another person's rights.
We reserve the right to control the defense of any matter subject to indemnification by you, and you agree to reasonably cooperate with us.
20. Suspension and Termination
These Terms remain effective until terminated by you or NOVI.
You may stop using the Services at any time.
We may restrict, suspend, or terminate access to all or part of the Services if we reasonably determine that you have violated these Terms, engaged in fraudulent or abusive activity, created security risks, infringed another person's rights, or otherwise engaged in conduct harmful to NOVI, our customers, or third parties.
We may also discontinue all or part of the Site or Services, subject to applicable law.
Provisions that by their nature should survive termination will continue after termination, including provisions concerning intellectual property, User Content licenses, disclaimers, liability limitations, indemnification, dispute resolution, and miscellaneous terms.
21. Governing Law
These Terms and any dispute arising from or relating to these Terms, the Site, the Services, or your relationship with NOVI will be governed by the laws of the State of Wyoming, without regard to conflict-of-law principles, except where applicable consumer law requires otherwise.
Mandatory rights provided to consumers under the laws of their place of residence are not waived where they cannot legally be waived.
22. Dispute Resolution
Before filing a formal legal claim relating to these Terms or Services, you and NOVI agree to make a reasonable good-faith effort to resolve the dispute informally.

The parties will attempt in good faith to resolve the matter before pursuing formal proceedings.
Unless applicable law requires otherwise, any court proceeding arising from these Terms or Services shall be brought in a court of competent jurisdiction located in Wyoming, and you and NOVI consent to the jurisdiction of those courts.
Nothing in this section prevents either party from seeking appropriate temporary or injunctive relief where necessary to protect intellectual property, confidential information, security, or other rights.
Nothing in these Terms prevents you from using a small claims court or exercising mandatory consumer rights where applicable.
23. No Waiver
If NOVI does not exercise or enforce a right or provision under these Terms, that does not constitute a waiver of that right or provision.
Any waiver must be expressly made by us and will apply only to the specific circumstances for which it is given.
24. Severability
If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the greatest extent permitted by law or, where appropriate, severed from these Terms.
The remaining provisions will continue in full force and effect.
25. Assignment
NOVI MOOD LLC may assign or transfer its rights and obligations under these Terms in connection with a merger, acquisition, financing, restructuring, sale of assets, corporate reorganization, or transfer of the NOVI business.
You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
26. Entire Agreement
These Terms, our Privacy Policy, Return Policy, and any other policies or terms expressly incorporated by reference constitute the agreement between you and NOVI relating to your use of the Site and Services.
They supersede prior or contemporaneous communications and agreements regarding the same subject matter, except where otherwise expressly agreed in writing.
If specific promotional, product, or program terms conflict with these Terms, the more specific terms will control with respect to that particular promotion, product, or program.
27. Changes to the Services
We may modify, suspend, discontinue, add, or remove features, products, functionality, or portions of the Site at any time.
Product availability and Site functionality may change without notice.
Where required by law, we will provide any legally required notice.
28. Changes to These Terms
We reserve the right to update these Terms from time to time.
